INVICTA represented a foreign bank acting as a security agent in successful provision of the first syndicated loan in the Czech Republic.
The legal services included drafting of security documentation and revision of syndicated loan documentation as well as legal analysis of the relevant documentation provided by the debtor.

Relating to this transaction the INVICTA law firm prepared the documentation for a corporate changes in the acquiring SPV, documentation related to the investors cooperation, the due diligence
and also represented the client in the negotiation of the acquisition documentation.
In December 2018, we successfully represented a private investor in acquiring a retail park in Kladno. This legal representation was very specific, since the acquisition process, including due diligence,
lasted only three weeks and it was our fastest acquisition so far.
The consultancy involved the legal due diligence of the SPV owning the property, as well as negotiation of the acquisition documentation and representation of the client at closing of the transaction.
Klára Biskupová joined INVICTA law firm as an associate in November 2018.
Klára finished her master‘s degree at the Faculty of Law of Charles University in Prague in June 2017 and afterwards in autumn she passed a rigorous exam from the civil law. Klara worked as a legal assistant in the lawyer’s and notary’s office already during her studies. Within semester study program at Regensburg University in Germany she studied German family and medical law. Klára started her legal career as a notary trainee, in this position she gained experience in civil law and law of commercial corporations.
In her spare time Klára prefers doing sports. She plays volleyball, occasionally also beach volleyball, she likes skiing, cycling and rollerblading, when she wants to relax, she does power yoga or reads a good book. She speaks Czech, English and German.

František Sedláček joined the INVICTA law firm as associate in June 2018.
František graduated Law faculty of Palacký University in Olomouc, which he finished in February 2017. During his studies he worked for the court bailiff and for Česká spořitelna, where he also worked after finishing his studies as a lawyer in the section Loan and collateral documentation for coprorate finance. František began career as an associate in May 2017, when he devoted to general practice. He has experience with civil and commercial law as well as criminal law, including defense and representation before the courts.
His hobbies include sports, especially football, both actively and passively at the television, play station or the stadium. His favorite sports include also cycling or tennis. During long winter evenings, Frantisek likes to watch movies of all of genres and also he likes a good food. He speaks Czech, English and also passively German.

Legal services included due diligence and the preparation of complete contractual documentation, particularly with regard to the fact that the transferred company had a foreign owner.
After almost a year of negotiation, a contract for a future land purchase was concluded between our client and the owner of land in Vysočany in Prague. The contract deals in detail with all possibilities, including possible changes to the zoning plan and obtaining official permits.
